⚠️ Draft for review. These terms describe the intended offer honestly, but they have not been reviewed by a lawyer — particularly the "lifetime" and "capped at 100" promises, which are commitments you will be held to.
What membership is
LLC Cafe is a private club for people who own a limited liability company. It is not a course, a coaching program, a securities offering, or a legal service. Nothing here is legal, tax, or financial advice.
Verification
To be issued a member number you give us your LLC name, its state of formation, and a business email address. We look the company up in the public state registry ourselves — you do not send us documents. A person makes the final call. We may decline any application, and we may revoke a membership if the information turns out to be false.
Verification confirms that a company of that name is registered and active in that state. It is not a legal determination of who owns it — several states do not publish ownership at all.
Member numbers
Numbers are assigned in the order reservations are verified — not the order they are submitted. A number belongs to the member it was issued to. Numbers are not transferable, not for sale, and are never reissued if a membership ends.
The Founding 100
The Founding tier is capped at one hundred verified members, permanently. When the hundredth is issued, the tier closes and does not reopen. "Lifetime" means for as long as LLC Cafe operates; it is not a guarantee that LLC Cafe will operate forever.
What happens after the Founding 100
The club continues. Membership after Nº 0100 is issued from a separate, later series with its own numbering, and any future card will be a visibly different object — a different finish or a different generation. We will not reissue the Founding card, and we will not sell an unnumbered version of it. The first hundred numbers stay the first hundred numbers, permanently distinguishable, forever.
Reservations and payment
Reserving a number costs nothing and is not a purchase. We verify first. You are only asked to pay if your paperwork checks out and a number is still available. If we cannot verify you, or the tier fills before we reach you, you owe nothing.
The cards
Both cards contain a passive NFC chip that shares a profile you control. They need no app and no battery. They depend on the reader's phone having NFC enabled, which is outside our control. Cards are covered against manufacturing defects; they are not covered against being run over.
Refunds
Because a Founding card is engraved with a number issued only to you, it cannot be resold, and the Founding fee is non-refundable once your card has been engraved. Before engraving, ask and we will refund you.
